Affiliate Program Agreement

This Agreement (“Agreement”) outlines the terms and conditions for participation in the HealthExpertUSA Affiliate Program (https://healthexpertusa.com by Freelancer Subhashis Barua). The terms “Affiliate,” “you,” and “your” refer to participants in the Amazon Affiliate Program or any affiliate who applies to join our program. “We,” “us,” and “our” refer to HealthExpertUSA (https://healthexpertusa.com by Freelancer Subhashis Barua).

You and we are independent parties, and this Agreement does not create any form of partnership, joint venture, or employer-employee relationship between us. If you are entering into this Agreement on behalf of another individual or company, you confirm that you have the authority to bind them to these terms.

REGISTRATION AND USE

To participate in our affiliate program, you must be at least eighteen (18) years of age and possess a valid tax ID or Social Security number. U.S.-based affiliates must complete a W9 form or its equivalent in their respective countries. During registration, you may be asked to provide certain information, and you agree that all submitted information is truthful, accurate, and current.

We reserve the right to determine eligibility or terminate your participation at any time, without notice or explanation. We may also terminate your account immediately if you or your site violate any term of this Agreement or any applicable law. Termination due to breach or violation may result in forfeiture of any unpaid or earned compensation.

AGREEMENT DURATION AND TERMINATION

This Agreement will commence upon our acceptance of your affiliate application and will remain in effect until terminated by either party. We reserve the right to terminate this Agreement at any time, with or without notice, for any breach, violation, or other reason deemed appropriate by us.

Termination may occur at any time, with or without cause, by providing written notice to the other party. Upon termination, you must immediately cease promoting our offers, remove all links, banners, or creatives provided by us, and forfeit any unpaid commissions from the termination date forward.

We may also reject applications from affiliates based in states or regions where affiliate sales tax (nexus tax) applies and the advertiser opts not to promote products in that region.

MODIFICATION

We may modify this Agreement, including terms, commission structures, or payment schedules, at any time and at our sole discretion. If any modification is unacceptable to you, you must immediately terminate your participation and notify us. Continued participation after the posting of such changes constitutes your acceptance of the new terms.

COMMISSION FEES

Your compensation will be determined based on valid affiliate actions, governed by the offer’s requirements. We reserve the right to determine the validity of any transaction that triggers commission payments. No payments will be made for invalid or fraudulent transactions, or in cases where the advertiser fails to remit payment.

Commissions are based on the percentage set by the Amazon Affiliate Program for various products and categories, or a fixed rate per sale, as applicable. Payments will be made in U.S. Dollars, through approved methods listed on our website, once your earnings reach the minimum payout threshold of $50 USD, or another amount mutually agreed upon. Payments are issued within a specified number of days following the end of each calendar month, as agreed in writing.

ORDER PROCESSING

HealthExpertUSA (https://healthexpertusa.com by Freelancer Subhashis Barua) will be solely responsible for processing all orders placed through affiliate links. Customers who purchase products via your affiliate links will be considered customers of HealthExpertUSA. Product pricing and availability may vary, and our policies will determine the final price paid by customers. We reserve the right to reject any orders that do not comply with our rules or procedures.

WEBSITE RESTRICTIONS

Your eligibility depends on how you promote our offers. HealthExpertUSA (https://healthexpertusa.com) reserves the right to reject or terminate any participation based on site content. Disqualified sites include, but are not limited to, those that:

  • Promote sexually explicit material or adult content

  • Encourage violence or discrimination

  • Promote illegal activities or violate intellectual property rights

  • Contain spyware, malware, or collect personal data without consent

  • Use deceptive tactics such as fake news pages or misleading claims

  • Are under construction, require login access (unless approved), or direct minimal traffic

  • Use exit pops, ghost pixels, or iframe offers without approval

  • Violate any applicable law or damage the reputation of HealthExpertUSA

We reserve the sole right to determine site eligibility.

FRAUD

You must not engage in fraudulent, deceptive, or unfair practices such as cookie stuffing, fake incentives, or misrepresentation. We reserve the right to determine, at our discretion, if fraudulent behavior has occurred. If fraud is suspected, we may suspend or terminate your account immediately and withhold any unpaid earnings.

SPAM (UCE)

HealthExpertUSA (https://healthexpertusa.com) strictly prohibits unsolicited commercial email (spam). Any affiliate found violating this policy will be permanently removed from the program and forfeit all commissions.

DATA AND INTELLECTUAL PROPERTY

Approved affiliates are granted a non-exclusive, revocable, and limited license to use our marketing materials solely for promotional purposes. All data collected or generated through affiliate activities is considered proprietary and confidential property of HealthExpertUSA. You must safeguard this data and notify us immediately of any breaches or security concerns.

FORCE MAJEURE

We are not liable for any delays or failures due to circumstances beyond our control, including acts of God, war, terrorism, natural disasters, strikes, labor shortages, or other unforeseen events.

INDEMNITY

You agree to indemnify and hold HealthExpertUSA harmless against any claims, damages, or expenses arising from your participation, including violations of our anti-spam policy or misuse of affiliate materials.

DISCLAIMER

We make no express or implied warranties regarding the Affiliate Program or potential income. We do not guarantee uninterrupted or error-free operation of our site. Our liability shall not exceed the total amount paid to you within the last three (3) payment cycles.

MISCELLANEOUS

If any part of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect. This Agreement is governed by the laws of the State of [West Bengal], and any disputes shall be resolved in the courts of [Siliguri, West Bengal].

You may not assign your rights or obligations without our prior written consent. HealthExpertUSA may assign or transfer its rights to a third party in the event of a sale or business transfer.

Failure to enforce any provision of this Agreement does not constitute a waiver of future enforcement rights.

By submitting your application to join the HealthExpertUSA Affiliate Program, you acknowledge that you have read, understood, and agree to all the terms and conditions of this Agreement.
